terms of service

1. acceptance and parties

these terms of service ("Terms") form a binding agreement between you ("Customer") and Pento Group LLC, a limited liability company organized under the laws of the State of Delaware, United States, and operating under the brand "steerdev". by accessing or using the Service, you agree to these Terms. if you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. the service

steerdev provides a platform for engineering teams to orchestrate AI coding agents, manage specifications, and coordinate software development workflows. the Service includes the web application, APIs, CLI, integrations, and related tools. AI Output is generated by orchestrated large language models (including models operated by third-party inference providers). the Service does not replace human engineering judgment.

3. accounts

you are responsible for the security of your account and for any activity under it. you must provide accurate registration information and keep it up to date. we recommend enabling multi-factor authentication. you must notify steerdev promptly at security@steerdev.com of any suspected unauthorized access.

4. acceptable use

you agree not to, and not to permit any user under your account to:

• access systems or data without authorization
• reverse engineer, decompile, or attempt to extract the underlying models or source code of the Service, except to the extent this restriction is prohibited by law
• use the Service to develop a competing product or to benchmark for the purpose of building a competing product
• use the Service to create malware, credential stuffing tooling, phishing content, or other unlawful material
• use the Service to train, fine-tune, or evaluate a machine learning model that is not owned or controlled by you
• interfere with other customers, circumvent rate limits or quotas, or probe the Service for vulnerabilities outside the responsible-disclosure program published at /privacy/trust

5. authorized access to customer systems

to deliver the Service, you may connect source code repositories, issue trackers, runtime environments, and other systems. you grant steerdev a limited, non-exclusive, non-transferable license to access and process those systems solely to provide the Service on your behalf. the Service will request the least-privileged scopes sufficient to perform the task. you are responsible for (a) the accuracy of connection credentials, (b) the security and rotation of any secrets that may have been committed to a connected repository, and (c) revoking integrations you no longer need. steerdev disclaims liability for unauthorized access that results from credentials you failed to protect, rotate, or revoke.

6. intellectual property and ownership

7. agent operational boundaries

agents orchestrated through the Service execute in sandboxed environments and are bound by deterministic safety controls that operate independently of the underlying language model. proposed terminal and infrastructure actions are classified by risk; high-risk operations (including destructive filesystem commands, force-push, and irreversible database changes) are blocked or require explicit human approval. you may tighten these policies at the organization level but may not override them to a state less restrictive than the platform default. steerdev disclaims liability for damage caused by actions you explicitly approved.

8. data processing and privacy

our processing of personal data is governed by our privacy policy. enterprise customers may execute a separate Data Processing Agreement by contacting steerdev@pento.ai. our current list of subprocessors is published at /privacy/subprocessors.

9. fees, renewals, and taxes

paid subscriptions are billed in advance at the rate stated on the order form or pricing page. annual subscriptions auto-renew unless cancelled at least 30 days before the renewal date. we will notify you by email before each annual renewal. fees are exclusive of applicable taxes, which are your responsibility except for taxes on steerdev's net income.

10. service availability and disclaimers

the Service is provided "as is" and "as available". enterprise customers may receive a separate service-level commitment by order form; absent such an order, steerdev makes no uptime commitment. steerdev does not warrant that AI-generated output is accurate, complete, non-infringing, fit for a particular purpose, or free of errors, and disclaims all warranties to the maximum extent permitted by law, including warranties implied by the behavior of third-party inference providers.

11. limitation of liability

to the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or loss of data, even if advised of the possibility.

each party's total aggregate liability arising out of or related to these Terms will not exceed the fees paid by Customer to steerdev in the twelve (12) months preceding the event giving rise to the claim. the IP indemnity in section 6.6 is subject to this cap. the exclusions and limitations in this section do not apply to (a) breaches of confidentiality, (b) a party's indemnification obligations, or (c) liability that cannot be limited by law.

12. indemnification

you will defend and indemnify steerdev against any third-party claim arising from (a) your violation of these Terms, (b) your violation of law, (c) Customer Data you lacked the right to submit, or (d) your misuse of Customer Output. steerdev's indemnification obligation is limited to section 6.6.

14. governing law and disputes

these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. the federal courts of Delaware and the state courts of New Castle County, Delaware have exclusive jurisdiction, except as provided below.

any dispute arising out of or relating to these Terms will be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures by a sole arbitrator. the arbitration will be conducted in English, remotely or at a mutually agreed location. the parties waive any right to a jury trial and to participate in class, collective, or representative actions. nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

15. general

these Terms, together with the privacy policy and any order form, constitute the entire agreement between the parties and supersede prior agreements on the same subject. if any provision is held unenforceable, the remainder will remain in effect. neither party may assign these Terms without the other's consent, except in connection with a merger, reorganization, or sale of substantially all of its assets. failure to enforce a provision is not a waiver.

16. changes to these terms

we may update these Terms from time to time. we will notify customers of material changes at least 30 days before they take effect, via email or through the Service. your continued use after the effective date constitutes acceptance.
