1. acceptance of terms
by accessing or using steerdev ("the Service"), you agree to be bound by these terms of service ("Terms"). if you do not agree, do not use the Service. these Terms constitute a binding agreement between you ("Customer") and Steerdev.
2. description of service
steerdev provides a platform for engineering teams to orchestrate AI coding agents, manage specifications, and coordinate software development workflows. the Service includes the web application, APIs, integrations, and related tools.
3. accounts
you are responsible for maintaining the security of your account and any activity that occurs under it. you must provide accurate information when creating an account and keep it up to date. you must notify steerdev immediately of any unauthorized access to your account.
4. acceptable use
you agree not to misuse the Service. this includes, but is not limited to: attempting to access systems without authorization, interfering with other users, reverse engineering or decompiling the Service, using the Service for unlawful purposes, or using the Service to develop a competing product or service.
5. intellectual property and ownership
5.1 your content
your code, specifications, data, and any content you create or process through the Service ("Customer Data") remain yours. steerdev does not claim ownership of any Customer Data. all outputs generated by AI agents orchestrated through the Service ("Customer Output") are owned by you, including all intellectual property rights therein.
5.2 no AI training on customer data
steerdev will not use Customer Data or Customer Output to develop, train, or improve AI or machine learning models. this applies to all customers regardless of plan tier. steerdev will not share, license, or sell Customer Data or Customer Output to any third party for model training purposes.
5.3 steerdev platform
the steerdev platform, branding, documentation, and all related intellectual property are owned by steerdev. nothing in these Terms grants you any rights to steerdev's intellectual property beyond the limited right to use the Service.
5.4 aggregated data
steerdev may generate and use aggregated, de-identified data derived from Service usage for analytics, product improvement, and benchmarking purposes. such data will be in aggregate form that cannot be linked to any specific customer or user.
5.5 feedback
any feedback, suggestions, or ideas you provide about the Service may be used by steerdev without restriction or obligation to you.
6. data access and scope
steerdev processes specifications, tasks, and agent orchestration metadata to provide the Service. steerdev does not access, read, or store the source code in your repositories. integration permissions are limited to the minimum access required to coordinate agent workflows.
7. limitation of liability
7.1 disclaimer of warranties
the Service is provided "as is" and "as available" without warranties of any kind, express or implied. steerdev does not warrant that AI-generated outputs are accurate, complete, free of errors, or protectable by intellectual property rights.
7.2 limitation of damages
to the maximum extent permitted by law, steerdev shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities.
7.3 liability cap
steerdev's total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the fees paid by you to steerdev in the twelve (12) months preceding the event giving rise to the claim.
8. indemnification
you agree to indemnify and hold steerdev harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
9. term and termination
9.1 term
these Terms remain in effect while you use the Service. paid subscriptions auto-renew unless cancelled at least 30 days before the renewal date.
9.2 termination
either party may terminate for material breach with 30 days' written notice, provided the breach remains uncured during that period. steerdev may suspend or terminate your access immediately if your use poses a security risk or violates these Terms.
9.3 effect of termination
upon termination, you may request export of your Customer Data for up to 30 days. after that period, steerdev will delete your Customer Data in accordance with the Privacy Policy.
10. governing law and disputes
these Terms are governed by the laws of the State of Delaware, United States. any disputes shall be resolved through binding arbitration in accordance with the rules of JAMS, conducted remotely or in a mutually agreed location. both parties waive the right to a jury trial or participation in class action proceedings.
11. changes to terms
we may update these Terms from time to time. continued use of the Service after changes constitutes acceptance of the updated Terms. we will notify users of material changes at least 30 days before they take effect via email or through the Service.
